Plexser Terms of Service
DRAFT for review by a lawyer. Not legal advice. Text in [square brackets] must be completed or confirmed before use.
1. Who we are and acceptance
These Terms are a contract between you and Plexser, LLC, a Texas limited liability company ("Plexser", "we", "us"). They cover the Plexser Sizing web application at sizing.plexser.com and the related sign-in, billing and support services (the "Service").
By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service for a company, you confirm that you can bind that company, and "you" then means the company. If you do not agree, do not use the Service.
Our contact details: Plexser, LLC, [STREET ADDRESS - TO BE ADDED], [CITY, STATE, ZIP - TO BE ADDED], USA. E-mail: [email protected].
2. The Service and your account
The Service is for professional use and is available to people aged 18 or older.
- Give accurate information when you register, and keep it up to date.
- You must verify your e-mail address before you can use the Service.
- Keep your password secret and use a strong one. You are responsible for everything done through your account.
- One account is for one person. Do not share a login between people.
- Tell us at once if you think someone else has used your account.
3. Plans, free trial and the Free plan
The Service has these plans. Our website (plexser.com) lists the current features and prices of each plan, and checkout shows the price before you pay. Prices are in US dollars per user. Monthly plans are billed every month. Yearly plans are billed once a year in advance.
| Plan | What it includes |
|---|---|
| Free | A limited number of projects, usage limits, and reports that carry a watermark |
| Engineer | Full sizing features for one user |
| Engineer + AI Assistant | Everything in Engineer plus the AI Assistant |
| Enterprise | Tandem ESP design, catalogue maintenance, higher limits, and other features agreed with us |
Each plan has usage limits, for example the number of saved projects or calculations you can run in an hour. The limits are described on our website and may change.
Free trial. A new user gets a 7-day free trial of the Engineer plan. No payment card is needed. The trial starts the first time you sign in with a verified e-mail address. Each person, and each e-mail mailbox, can have one trial. We may refuse a trial to anyone who has already had one or has had a paid subscription.
After the trial. When the 7 days end, your account moves to the Free plan automatically. You are not charged. You can subscribe to a paid plan at any time.
We may change the features and limits of a plan. For paid plans we give you notice as set out in section 9.
4. Payment, renewal, taxes, cancellation and refunds
- Payment. Paid plans are billed in advance, monthly or yearly depending on the plan you choose, through our payment provider, Stripe. We do not see or store your full card number.
- Renewal. A paid plan renews every month (or every year, for a yearly plan) until you cancel.
- Cancellation. You can cancel at any time from the billing page. The plan stays active until the end of the period you have paid for, then your account moves to the Free plan.
- Refunds, monthly plans. Cancelling a monthly plan takes effect at the end of the month you have paid for. We do not refund the current month, except where the law requires it.
- Refunds, yearly plans. If you cancel a yearly plan, we refund the full months that remain after the cancellation date. The refund goes back to your original payment method and can take up to 30 days to reach you.
- Taxes. Prices do not include sales tax, VAT or similar taxes. Where they apply they are added at checkout.
- Failed payments. If a payment fails, we may try again and may move your account to the Free plan after 7 days.
- Price changes. The price you accept at checkout applies to your current subscription period. We will tell you at least 30 days before a price change takes effect. It applies from your next renewal.
5. Your content and data
Your projects, inputs and results ("Your Content") belong to you. We do not claim ownership of them.
You give us a limited licence to host, store, copy and process Your Content only to run the Service for you, to keep it secure, and to meet our legal duties. [Lawyer: if the AI Assistant sends project data to an outside AI provider, say so here and in the Privacy Policy.]
We keep backups for disaster recovery. You can delete your projects at any time, and you can ask us to delete your account and data (see the Privacy Policy). Backups are removed on their normal cycle.
You are responsible for Your Content and for having the right to use it, including data that belongs to your employer or clients.
6. Acceptable use
You agree not to:
- break the law or infringe anyone's rights using the Service;
- try to get around plan limits, rate limits, the watermark or other access controls;
- copy, scrape or bulk-download the catalogues or other data beyond what the Service lets you export;
- resell, rent or share the Service, or give access to people who are not covered by your plan;
- reverse-engineer, decompile or copy the software, except where the law allows it;
- upload malware, or interfere with or overload the Service;
- test the security of the Service or look for vulnerabilities without our written permission. If you find one by accident, please report it to us.
7. Engineering results are an aid, not a guarantee
The Service helps qualified engineers size and compare artificial lift equipment. Its results depend on the data you enter and on catalogue and model data that can contain errors or be out of date. They are calculations, not engineering approval.
- You must check every result with your own engineering judgement and with the equipment manufacturers' current data before you rely on it.
- You, not Plexser, are responsible for choosing, buying, installing and operating equipment, and for any decision made on the basis of the Service.
- The AI Assistant can make mistakes. Do not treat its answers as verified.
- Plexser does not give professional engineering advice, and the Service is not a substitute for a licensed engineer's review where one is required.
The Service must not be the only safeguard in any system where a wrong result could cause injury, loss of life, or serious damage to property or the environment.
8. Our intellectual property
The Service, its software, design, documentation, and the way our catalogues are compiled belong to Plexser or our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service for your own work for as long as your account is active, under these Terms.
Manufacturer names, product data and trademarks in the catalogues belong to their owners. Their appearance in the Service does not mean they endorse Plexser or the Service.
If you send us feedback or ideas, we may use them without owing you anything.
9. Availability, support and changes
We work to keep the Service running, but we do not promise that it is always available or error-free. We may take it down for maintenance and will try to do so at quiet times. There is no uptime guarantee unless we agree one in writing with an Enterprise customer.
Support is by e-mail at [email protected].
We may add, change or remove features. If we make a change that clearly reduces what a paid plan gives you, or raise its price, we will tell you at least 30 days ahead. You can then cancel before it takes effect.
10. Suspension and termination
You can stop using the Service and delete your account at any time.
We may suspend or close an account if you break these Terms, if a payment is overdue, if your use puts the Service or other users at risk, or if the law requires it. Where it is reasonable, we will warn you first.
When an account is closed, your right to use the Service ends. We will keep Your Content for 30 days so you can ask for a copy, then delete it, except where the law requires us to keep something. Sections that by their nature should continue (7, 8, 11, 12 and 13) continue after termination.
11. Disclaimers and limitation of liability
The Service is provided "as is" and "as available". To the fullest extent the law allows, we give no warranties, express or implied, including about fitness for a particular purpose, accuracy of results or catalogue data, and uninterrupted operation.
To the fullest extent the law allows, Plexser, its owners and staff are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production, well or equipment damage, downtime or lost data, even if we were told they could happen.
Our total liability for any claim connected with the Service is limited to the amount you paid us in the 12 months before the event, or US$100 if you paid nothing. [Lawyer: confirm the cap.]
Some places do not allow these limits. Where that is so, they apply only as far as the law lets them. These Terms do not take away any consumer rights that cannot be waived under the law where you live.
12. Governing law, disputes and export rules
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. Before starting a court case, each side will first try to settle the dispute informally for at least 30 days after written notice. Any case that cannot be settled will be brought in the state or federal courts located in Harris County, Texas, and both sides accept those courts. [Lawyer: confirm the venue, and whether to add arbitration or a jury waiver.]
Users outside the United States. You may use the Service from anywhere that the law allows. If you are a consumer, the mandatory consumer protection laws of the place where you live still apply to you.
Export and sanctions. You must follow United States export control and sanctions laws. You may not use the Service if you are on a US restricted-party list or are in a country or region under comprehensive US sanctions.
13. Changes to these Terms, general terms and contact
We may update these Terms. For a material change we will e-mail you or show a notice in the Service at least 30 days ahead. If you keep using the Service after the change takes effect, you accept the new Terms. If you do not accept them, you can cancel your account.
These Terms, together with the Privacy Policy and any written agreement with us, are the whole agreement between you and Plexser about the Service. If a part is found invalid, the rest stays in force. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a sale or reorganisation of the business. The English version of these Terms is the one that governs.
